Terms of Use

1. Acceptance of Terms

By accessing or using any services, websites, software, applications, or products provided by AztecCoders LLC ("Company," "we," "our," "us"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, do not use our services.

2. Description of Services

AztecCoders LLC provides:

  • Software engineering
  • Technology consulting
  • Contracting services
  • Project development
  • AI, automation, and digital solutions

Services may evolve over time. We may update or modify service offerings without prior notice.

3. Eligibility

You must be at least 18 years old and legally able to enter a binding contract to use our services. By using our services, you represent and warrant that all information you provide is accurate.

4. Client Responsibilities

Clients agree to:

  • Provide accurate information and project requirements
  • Maintain communication throughout project timelines
  • Pay all invoices on time
  • Comply with all applicable laws

Clients may not:

  • Misuse our services
  • Reverse engineer deliverables without permission
  • Use our work for unlawful purposes

5. Intellectual Property

Unless explicitly stated in writing:

  • All software, code, designs, and deliverables created by AztecCoders LLC remain the intellectual property of the Company until payment is made in full.
  • Upon full payment, the client receives a non-exclusive, worldwide license to use deliverables for the purposes outlined in the project agreement.

AztecCoders LLC retains the right to:

  • Reuse non-proprietary code, frameworks, and tools
  • Showcase completed work for portfolio or marketing purposes (unless a separate NDA prohibits disclosure)

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of a project. Confidential information does not include:

  • Publicly available information
  • Information already in the receiving party's possession
  • Information independently developed without access to confidential data

7. Payment Terms

Payment terms will be outlined in each project contract or invoice. Unless otherwise stated:

  • Payments are due within 15 days of invoice date
  • Late payments may incur interest at 1.5% per month
  • Deposits may be required before work begins

AztecCoders LLC may suspend work on a project if payments are late.

8. Warranty & Disclaimer

Our services are provided "as is" and "as available" without warranties of any kind, including:

  • No guarantee of future performance
  • No guarantee that deliverables will be error-free, secure, or uninterrupted

To the maximum extent permitted by law, we disclaim all express and implied warranties.

9. Limitation of Liability

To the fullest extent allowed by law:

  • AztecCoders LLC is not liable for indirect, incidental, or consequential damages
  • Our total liability for any claim is limited to the amount you paid for the specific service giving rise to the claim

10. Indemnification

You agree to indemnify and hold harmless AztecCoders LLC, its employees, contractors, and affiliates against claims resulting from:

  • Misuse of our services
  • Violation of these Terms
  • Violation of third-party rights

11. Termination

We may terminate or suspend your access to services at our discretion if:

  • You violate these Terms
  • You fail to make payments
  • You misuse or abuse our services

Upon termination:

  • Any outstanding payments become immediately due
  • Your license to use deliverables may be revoked if payments were not completed

12. Third-Party Services

Our services may integrate or rely on third-party platforms or software. We are not responsible for:

  • Third-party availability
  • Third-party actions or failures
  • Third-party terms or privacy policies

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Disputes shall be resolved through:

  • Good faith negotiation
  • Mediation if negotiation fails
  • Binding arbitration in San Mateo County, California

14. Changes to Terms

We may update these Terms at any time. Updates become effective immediately upon posting. Continued use of our services constitutes acceptance of the revised Terms.
